520 ## $aThis study finds out some major points such as: -Syntactically, prepositional phrases IN in English has some syntactic features such as Preposition + Prepositional complement , Prepositional complements are realized by noun phrases, -Ing participle clauses, Wh-interrogative clauses, Yes/no interrogative clauses, Nominal relative clauses. In both English and Vietnamese, IN prepositional phrases can stand either in initial or final position in the sentence, depending on the purpose of the speaker. - Semantically, both English and Vietnamese express different meanings , IN in English donoting time, place, movement, part of something, wearing and arranged. Even though Vietnamese is different from English in terms of linguistic systems, the two languages share many syntactic and semantic features could have almost all their equivalents in Vietnamese. In the end, The study presents the syntactic and semantic features of English prepositional phrases IN in English with reference to Vietnamese equivalents. There are similarities and differences in using prepositions between two languages. Especially, in semantic term, there is a big difference between two languages
